These Terms and Conditions ("Terms") govern your access to and use of the nibchat platform, including the website at www.nibchat.ai and the operator portal at portal.local.nibchat.ai (collectively, the "Service"), operated by nibchat ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
nibchat is a managed platform that allows operators to create, configure, and deploy AI-powered chat agents. Operators connect tools and data sources to their agents via the Model Context Protocol (MCP) marketplace, and share those agents with their own end users via a unique URL. nibchat handles the underlying infrastructure, including compute, scaling, and integrations.
2. Eligibility and Account Registration
You must be at least 18 years old to register as an operator. By creating an account you represent that all information you provide is accurate and that you have the authority to agree to these Terms on behalf of any organisation you represent.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at contact.nibchat@gmail.com if you suspect unauthorised access.
3. Operator and End User Relationship
nibchat contracts with operators — the individuals or organisations that create and manage agents on the platform. Operators are responsible for:
- Complying with all applicable laws when deploying agents to their end users
- Obtaining any necessary consents from end users before collecting or processing their data
- Ensuring their agents are not used for prohibited purposes (see Section 6)
- Providing their end users with appropriate privacy notices and terms of use
nibchat is not responsible for the relationship between operators and their end users, nor for the content or accuracy of AI-generated responses delivered to end users.
4. Plans and Billing
Available plans
- Free ($0/mo) — Up to 2 agents, 1 running at a time, connector marketplace, knowledge base, shared infrastructure.
- Starter ($19/mo) — Up to 5 agents, 3 running at a time, connector marketplace, knowledge base, shared infrastructure, image generation.
- Pro ($49/mo) — Up to 10 agents, all running simultaneously, connector marketplace, knowledge base, dedicated database, image generation.
- Enterprise (custom pricing) — Unlimited agents, unlimited running, dedicated infrastructure, dedicated database & storage, SLA & priority support. Coming soon — contact us for details.
Current pricing is listed at nibchat.ai/#pricing. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.
Payment and renewal
Paid plans are billed monthly in advance via Stripe. Subscriptions automatically renew each billing period unless cancelled before the renewal date. All fees are non-refundable except as required by applicable law or as explicitly stated herein.
Downgrade and cancellation
You may cancel or downgrade your plan at any time from the portal. Changes take effect at the end of the current billing period. Agents that exceed the new plan's agent count or concurrency limit will be paused; you will be asked to choose which to keep active.
5. AI-Generated Content
nibchat uses large language models (currently powered by OpenAI) to generate agent responses. AI-generated content may be inaccurate, incomplete, or inappropriate. We make no warranties regarding the accuracy, reliability, or fitness of AI outputs for any particular purpose. Operators and end users should not rely solely on AI-generated responses for medical, legal, financial, or safety-critical decisions.
Operators are responsible for reviewing their agent configurations and system prompts to ensure appropriate behaviour for their use case.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Generate, distribute, or facilitate spam, phishing, or unsolicited communications
- Create, store, or transmit content that is illegal, defamatory, obscene, or harmful
- Impersonate any person or entity or misrepresent your affiliation with any person
- Attempt to gain unauthorised access to the Service or its underlying infrastructure
- Reverse engineer, decompile, or extract source code from any part of the Service
- Use the Service to train or fine-tune competing AI models
- Overload, disrupt, or impair the Service through automated scraping or excessive requests
We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice depending on the severity of the violation.
7. Google API Services
nibchat's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Specifically, we use Google OAuth tokens solely to perform the actions explicitly authorised by the user, we do not transfer Google user data to third parties except as necessary to provide the authorised service, and we do not use Google user data for advertising purposes.
8. Intellectual Property
nibchat and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and documentation. These Terms do not grant you any right to use our trademarks or branding without prior written consent.
You retain ownership of any content you create, including agent system prompts and configurations. By submitting content to the Service, you grant us a limited, non-exclusive licence to store and process that content as necessary to operate the Service.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NIBCHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; OR (C) ANY AI-GENERATED OUTPUT.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR USD $100.
11. Indemnification
You agree to indemnify, defend, and hold harmless nibchat and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service at our discretion if you breach these Terms or engage in conduct that we reasonably believe is harmful to us, other users, or third parties. You may delete your account at any time from the portal settings. Upon termination, your right to use the Service ceases immediately and we may delete your data in accordance with our Privacy Policy.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify registered operators by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.
